1. Acceptance of Terms

By accessing or using FreightFloo ("Platform"), you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform.

2. Description of Service

FreightFloo is a marketplace platform connecting vehicle shippers with licensed carriers. We facilitate transactions but are not a carrier ourselves. The Platform provides:

• Shipment listing and management tools
• Reverse auction bidding system
• Secure payment processing via Stripe Connect
• GPS tracking and communication tools
• Rating and review system

3. User Accounts

3.1 Registration

You must provide accurate, complete information when creating an account. You are responsible for maintaining the security of your account and password.

3.2 Carrier Requirements

• Valid DOT and MC numbers
• Current insurance coverage
• Clean safety record
• Admin approval required

3.3 Account Termination

We reserve the right to suspend or terminate accounts that violate these terms or engage in fraudulent activity.

4. Bidding and Pricing

4.1 Reverse Auction

Our platform uses reverse auction where carriers bid to offer competitive prices. Bids are binding once accepted by the shipper.

4.2 Platform Fees

FreightFloo charges a 10% platform fee on completed shipments, deducted from carrier payments. No hidden fees.

5. Payments

• All payments processed through Stripe Connect
• Funds held in escrow until delivery confirmation
• Automatic release upon successful delivery
• Refunds processed within 5-10 business days for cancellations
• Dispute resolution available for contested deliveries

6. User Responsibilities

6.1 Shippers Must:

• Provide accurate vehicle information and locations
• Make vehicle available at agreed pickup time
• Ensure vehicle is in declared condition
• Respond to carrier communications promptly

6.2 Carriers Must:

• Maintain valid licenses and insurance
• Honor accepted bids and delivery timelines
• Provide GPS tracking during transit
• Document vehicle condition with photos
• Deliver vehicle safely and on time

7. Prohibited Activities

Users may not:

• Provide false or misleading information
• Exchange contact information to bypass platform fees
• Manipulate bidding or ratings
• Use the platform for illegal purposes
• Harass or threaten other users
• Scrape or copy platform content
• Create multiple accounts to avoid restrictions

8. Limitation of Liability

FreightFloo is a marketplace platform only. We are not liable for:

• Vehicle damage during transit (carrier's insurance applies)
• Delays or failed deliveries
• Disputes between shippers and carriers
• Third-party service failures (Stripe, GPS, etc.)

Maximum liability is limited to platform fees paid for the disputed shipment.

9. Intellectual Property

All platform content, trademarks, and intellectual property belong to FreightFloo. Users grant us license to use content they post for platform operation and marketing.

10. Dispute Resolution

Disputes should be reported within 48 hours of delivery. Our team will mediate. If unresolved, disputes will be settled through binding arbitration in accordance with the American Arbitration Association rules.

11. Changes to Terms

We may modify these terms at any time. Continued use after changes constitutes acceptance. Material changes will be communicated via email.

12. Governing Law

These terms are governed by the laws of [Your State/Country], without regard to conflict of law provisions.
